Partner Agreement

1. Who this agreement is between

This Partner Agreement (the "Agreement") is between Upfora OÜ, trading as Upfora ("Upfora", "we"), and the business whose venue Upfora lists (the "Partner"). The person who signs in to the partner console and accepts this Agreement acts for the Partner. The Partner confirms that it acts for its business, not as a consumer. This Agreement is read together with our Public Offer, Terms & Conditions and Data Policy.

2. What Upfora does

Upfora suggests the Partner's venue to people who chose an intent that the venue serves, while Google reports the venue as open. When the Partner has a live offer and a live plan (section 5), Upfora shows the offer on the venue's card. Each Upfora guest who arrives at the venue for a meeting may have a code for the live offer, also when the other guest does not come. The Partner's staff scan it with any phone camera. The page that opens shows the offer, whether it is valid, and a four-digit number that the guest's screen also shows. The scan records that the offer was used. While the Partner has a live plan, Upfora shows the Partner counts about its own venues, and never about other venues.

3. What the Partner does

The Partner agrees to:

Grant the offer to each Upfora guest whose code the page shows as valid, once per guest.
Keep the venue's opening hours correct on Google.
Welcome Upfora guests like any other guests.
Scan only the guest's offer code. Do not ask Upfora guests to record or confirm their visit in any other way, and never ask a guest for their phone number.

The Partner may give Upfora a photo of its venue. The Partner confirms that it holds the rights to the photo, and grants Upfora a free, non-exclusive licence to show it in the Upfora apps while the venue is listed. Upfora removes the photo when the Partner asks or when the venue leaves Upfora.

4. Data

Your phone number signs you in to the partner console. We keep your name, an email address for notices under this Agreement, and the venues you manage. If you subscribe, Stripe processes the payment, and we keep the Stripe references for your customer record and subscription, the plan's status and its dates. The statistics we show you are counts, never the names or accounts of guests. We never sell data. The Data Policy describes the rest. The offer page shows no guest's name or account.

5. Price

The Partner chooses a plan by the number of its locations. A location is a venue that the Partner manages in the partner console. Only Upfora suspends a location (section 6). A suspended location does not count toward the plan's location limit. The plan belongs to the Partner's account and covers all of its locations. Upfora OÜ sells the plan and issues the invoice. Stripe processes the payment. Prices exclude VAT. Upfora adds VAT where the law requires it.

Solo: 1 location. €99 a month or €990 a year.
Multi: 2 to 5 locations. €199 a month or €1,990 a year.
Enterprise: 6 or more locations, or a mall with its tenants, by quote. Its price, billing, discounts and terms are set in a separate contract. If that contract and this Agreement differ, the contract applies.

The Partner pays Solo and Multi by card, monthly or yearly, for each period at its start, from the day it subscribes. There is no free period. A plan renews at the end of each period, for the same period, until the Partner cancels it or ends this Agreement. Upfora reminds the Partner at least 30 days before a yearly plan renews. The Partner can change or cancel its plan in the partner console. A cancellation takes effect at the end of the paid period, and the plan stays live until then. Upfora refunds no part of a period already paid, except as section 6 says. To add a location beyond its plan, the Partner first moves to a larger plan. Upfora may agree a discount with a Partner individually, in writing.

Changes: Upfora gives 30 days' notice before it changes a price or this Agreement. A change applies from the first renewal at least 30 days after the notice, or, for a Partner without a plan, 30 days after the notice. The Partner may cancel its plan, or end this Agreement, before the change applies, and then never pays the new price.

Without a live plan: a Partner keeps its account and the partner console before it subscribes, when a payment fails and Stripe stops retrying it, and when it cancels its plan or ends this Agreement. After a cancellation or an ending, the plan stays live until the paid period ends. While Stripe retries a payment, the plan stays live. Without a live plan, the Partner's venues are no longer placed ahead of other venues as partner venues. Upfora can still suggest them like any other venue, at no cost. Their offers are kept but not shown, and their statistics are locked.

Notice: Upfora gives notice before any paid plan applies to the Partner. Nothing is charged unless the Partner subscribes itself. Upfora sends every notice and reminder under this Agreement by email, to the address in section 4. A notice period counts from the day Upfora sends the notice. When Upfora gives the Partner free access until a date, Upfora tells the Partner at least 30 days before that access ends. If that date is less than 30 days after the notice, Upfora extends the free access to 30 days after the notice.

6. Ending

Either side may end this Agreement at any time. This section says when an ending takes effect. Upfora may suspend or remove a venue that breaks section 3.

The plan belongs to the Partner's account. Suspending or removing a location, even the last one, never ends the plan. An account with no locations keeps its plan and pays for it until it cancels. When the Partner deletes its partner account, it first pays any open invoice. The plan then ends at once, and Upfora refunds no part of a period already paid. A cancellation in the partner console takes effect at the end of the paid period (section 5). When the Partner ends this Agreement but keeps its account, the plan stays live until the end of the paid period, with no refund for that period. Until then, its venues stay placed ahead of other venues as partner venues, their offers stay shown, and their statistics stay open. This Agreement ends when the plan ends. If the Partner ends this Agreement while it has no live plan, this Agreement ends at once. After this Agreement ends, the Terms & Conditions govern the account.

If Upfora ends this Agreement without cause, it refunds the unused part of the paid period pro rata. If Upfora ends it because the Partner broke section 3, it refunds nothing.

7. Liability

The limits in the Terms & Conditions apply to this Agreement. To the maximum extent permitted by applicable law, Upfora OÜ is not liable for any indirect, incidental or consequential damages. Our total liability for any claim does not exceed the fees paid by the Partner in the three months before the claim (or €50 if no fees were paid). A yearly fee counts as one twelfth for each month.

8. Law

This Agreement is governed by the law of the Republic of Estonia. Any dispute that cannot be resolved amicably is submitted to Harju County Court, Tallinn.
